The author discusses the most critical elements for the successful sale of a privately held business. Buyers should determine first the owner's willingness to sell the business. Sellers on the other hand, should make sure they can separate themselves from the business and are prepared to leave, before deciding to sell. Buyers should be cautious of buyers who have no plans post-closing or who have no apparent reason for divestiture.
