ABSTRACT
A definition of the term "governance" is presented. It refers to the way a government of an organization is run and controlled. The efforts of financial regulators to place emphasis on establishing good governance is usually centered on ensuring that a company appoints outside independent directors. They oversee its audit committed, preside over the remuneration of the other directors and see that the board discloses to its shareholders everything it should.
